Norm

  • § 310 Abs. 1 BGB: AGB im B2B nicht direkt § 308/309-pflichtig.
  • § 310 Abs. 1 Satz 3 BGB (eingefuehrt 2009): VOB-B unterliegt bei vollstaendiger und unveraenderter Einbeziehung einer privilegierten AGB-Kontrolle — keine Klauselpruefung unter § 308/309 BGB.

VOB-B Privileg

  • Vollstaendige Einbeziehung erforderlich. Schon kleine Anpassungen lassen das Privileg entfallen.
  • BGH VII ZR 162/13: bereits Streichung einer einzigen Klausel der VOB-B beendet das Privileg für die gesamte VOB-B.
  • Folge: alle VOB-B-Klauseln werden unter § 307 BGB einer Inhaltskontrolle unterzogen, was haeufig zu Teilunwirksamkeiten fuehrt.

Aktuelle Änderungen VOB-B 2024

  • Anpassung an §§ 650a ff. BGB Bauvertragsrecht.
  • Praezisierung der Sicherheitsleistung (§ 17 VOB-B).
  • Neufassung der Abnahme (§ 12 VOB-B).
  • BGH-Folgejudikate sind im Aufbau; Az live verifizieren.

Klassische Problemklauseln

  • § 8 Abs. 2 VOB-B Kuendigung aus wichtigem Grund: Wirksam im Regelfall.
  • § 4 Abs. 7 VOB-B Maengelbeseitigung: in B2C nicht uebernehmbar (BGH VIII ZR 121/02).
  • § 13 VOB-B Maengelhaftung: Verkuerzung der Verjährungsfrist auf 4 Jahre statt 5 Jahre BGB — wirksam im B2B.
  • § 12 Abs. 5 VOB-B Fiktion der Abnahme: Fiktionsregelungen sind ohne explizite Hinweise zur Frist und Folge intransparent — BGH VII ZR 137/16.

§§ 650a ff. BGB Bauvertragsrecht 2018

  • Ueberlagerung der VOB-B durch zwingendes Verbraucherrecht.
  • § 650l BGB (Verbraucherbauvertrag): zwingendes Recht.
  • VOB-B in B2C-Vertraegen praktisch nicht uebernehmbar.
